John McBride – Chairman of the Board

Mr. McBride is a Co-Founder of Raven Hill Partners (private merchant bank) and has extensive experience in capital markets and corporate governance. He was a co-founder and has been the Managing Director of CC Capital Partners Group, a private investment and merchant banking firm that is dedicated to acquiring, funding, building and advising early stage ventures, since December 1987. Prior to forming CC Capital, he was a financial consultant with Merrill Lynch Canada Inc. Mr. McBride began his career as a trader on the floor of the Toronto Stock Exchange. Mr. McBride has been a significant shareholder, director, or advisor in several private and public companies during his career, including SOFTIMAGE INC. (technology company), Northfield Capital Corporation (TSXV listed resource investment company), Phoenix Coal Inc. (former TSX listed coal mining company), Andina Minerals Inc. (exploration and development resource company), Katanga Mining Limited (resource company), Merc International Minerals Inc. (TSXV listed gold exploration company), Quest Oil and Gas Inc. (TSX listed oil and gas company), INI Power Systems Inc. (private fuel cell technology company), B.F. Realty Inc. (private real estate development company), MHI Energy Partners LLP (energy focused private equity fund), Hosted Data Transactions Solutions Inc. (formerly Dexit Inc, a TSX listed technology company), and many others. Mr. McBride obtained his ICD.D corporate director designation through the Rotman Business School, and is certified by the Institute of Corporate Director.

David A. Wiley – CEO and Director

Mr. Wiley was formerly the Co-founder, President and CEO of Phoenix Coal Inc. where he was instrumental in growing the company from a private enterprise to a publicly listed company on the Toronto Stock Exchange. From the company’s inception, he and his team raised over $200 million in equity and debt. Prior to Phoenix Mr. Wiley was a Managing Director of MHI Energy Partners. MHI is an energy private equity fund that invests in oil and gas, coal, and energy businesses and technologies. From 1996 to 2001, he was the Founder, President and Chief Investment Officer of The Inferential Investment Trust, a New York City based fund of private companies and publicly traded securities. Mr. Wiley is also a founding member and director of North American Limestone Corporation (private developer and operator of limestone quarries in the United States), and a director of INI Power Systems, (private fuel cell technology company).

Dr. Michael J. Byron – Chief Geologist and Director

Dr. Byron has more than 25 years domestic and international experience including research, field experience, and senior management experience in gold, base-metal, magmatic nickel & PGE, REEs and uranium, diamond, and gemstone exploration, spanning employment within the mineral exploration industry, government, and educational institutions. He is a professional geoscientist registered in Ontario and the Northwest Terretories, and holds advanced degrees in Geology including a PhD from Carleton University of Ottawa, Ontario. In addition to Merc, Dr. Byron is also a director of Brionor Resources Inc. (TSXV listed resource company), Carrie Arran Resources Inc. (TSXV listed resource company), and former director of Brazilian Diamonds Inc. (TSXV listed resource company) and Xtra-Gold Resources Corp. (TSX listed resource company). He is a co-founder and director of Druk Capital Partners Inc. (TSXV listed company), former co-founder, President and CEO of Ginguro Exploration Inc. (TSXV listed resource company), former co-founder and President of Golden Sierra Resources Inc. (private resource company), and former President and CEO of Merc International Minerals Inc. Previously, Dr. Byron served as Vice-President of Exploration at Lake Shore Gold Corp. and Aurora Platinum Corp. where he was instrumental in advancing both companies from initial startups to successful enterprises culminating in the sale of Aurora Platinum to FNX Mining Company Inc. and the resource expansion at Lake Shore that eventually lead to the development of its Timmins West Gold Mine.

Mark Goodman - Director

Mr. Goodman has been working in the financial services and mining industry since 1992. He began his career working for Dundee Corporation and has held numerous positions within the organization. In 2005 he founded Cogitore Resources Inc. ("Cogitore") (TSXV listed base metal exploration company). He has also served as President and CEO of both Valdez Gold (TSXV resource company) and Cogitore and is currently the Executive Chairman of Cogitore. He sits on the Board of Directors of several public and privately held companies including Cogitore, Corona Gold Corp. (TSX resource company), Ryan Gold Corp. (TSXV listed resource company), Energy Fuels Inc. (TSX listed resource development company), Odyssey Resources Ltd. (TSXV listed resource company), and the Dynamic Venture Opportunities Fund (Ontario Labour Sponsored Fund).

Thomas Pladsen - Director

Mr. Pladsen received his Chartered Accountant designation with KPMG LLP in Toronto and London, UK, in the mid 1980’s and has since held various financial positions and/or has been a member of the Board of Directors with TSX listed, TSXV listed and private mining and technology companies. Currently, Mr. Pladsen serves as CFO of Atacama Pacific Gold Corporation (TSXV listed resource company). Recently his positions have included CEO of Katanga Mining Limited (TSX listed resource company) from 2004 to 2005, CFO of Katanga from 2004 to 2006, CFO of Andina Minerals Inc. (TSXV listed resource company) from 2005 to 2009 and CFO of Merc from 2008 to 2010, as well as consulting work for several TSXV listed junior mining companies. He has also been the Chief Restructuring Officer for Tahera Diamond Corporation (CCAA mining company) since June 2009. In addition to Merc, Mr. Pladsen is currently a director of Northfield Capital Corporation (TSXV listed resource investment company), Hosted Data Transaction Solutions Inc. (formerly Dexit Inc, a TSX listed technology company), and White Pine Resources Inc. (TSXV listed resource company). Mr. Pladsen holds a BBA from Wilfrid Laurier University.

Michael Leskovec – CFO

Mr. Leskovec is a Chartered Accountant with over 10 years of financial experience within public practice and in the mining industry. Mr. Leskovec is also the Chief Financial Officer of White Pine Resources Inc., (TSXV listed resource company), as well as the Financial Control Officer of Northfield Capital Corporation (TSXV listed resource investment company). Most recently, Mr. Leskovec was Corporate Controller and an Officer of Andina Minerals Inc. (TSXV listed company), which was involved in the development of the Volcan Gold Project in Chile.) From May 2007 through September 2008, Mr. Leskovec served as Controller and an Officer of Gold Eagle Mines Ltd. (TSX listed resource company), which was involved in the development of the Bruce Channel deposit in Red Lake, Ontario, and was sold to Goldcorp Inc. in September 2008 for $1.5 billion. Previous to this, Mr. Leskovec was an Audit and Assurance Manager at Smith Nixon LLP, where he managed audit engagements of publicly listed corporations traded on the TSX and TSXV.
